STATEMENT OF WORK

IMPORTANT:

This Statement of Work ("SOW") is governed by and subject to the Master Services Agreement between the parties (the "MSA"). In the event of any conflict, the MSA controls. This SOW sets project-specific scope and commercial terms for BizAssistant’s standard AI receptionist offer.

1. PARTIES AND EFFECTIVE DATE

This SOW incorporates and is governed by the BizAssistant Master Services Agreement in effect as of the Effective Date.

2. SERVICES

During the term of this SOW, BizAssistant will provide the following Services for Customer’s landscaping or lawn care business, subject to the MSA:

(a) Setup and onboarding. Discovery, intake mapping, business-rule gathering, service-area setup, FAQ review, qualification criteria setup, call-routing preferences, summary recipients, and initial workflow design.

(b) AI receptionist configuration. Initial setup of inbound call-answering logic, lead-intake flow, call-summary flow, routing logic, overflow/after-hours handling, and calendar-friendly scheduling handoff support.

(c) Integration and launch assistance. Configuration assistance for approved phone, email, calendar, CRM, or workflow integrations reasonably necessary for the standard offer and made available by BizAssistant or applicable third-party providers.

(d) Ongoing management. Monthly tuning, prompt or script adjustments, workflow refinements, light maintenance, and reasonable remote support for the live system.

3. DELIVERABLES

Deliverables under this SOW may include some or all of the following:

(a) onboarding and implementation session(s);

(b) configured inbound call flow and lead-capture flow;

(c) business-hours, routing, service-area, and summary-notification setup;

(d) approved calendar-friendly scheduling handoff configuration;

(e) launch or go-live of the configured system; and

(f) ongoing management and optimization during active monthly service.

For clarity, BizAssistant is selling and delivering a managed service, not a custom work-for-hire software build. Any scripts, prompts, automations, workflows, summaries, or other configuration assets created by BizAssistant remain governed by the MSA’s ownership terms.

4. CUSTOMER DEPENDENCIES

Customer will timely provide all information, approvals, credentials, and access reasonably requested by BizAssistant, including, as applicable:

(a) business hours, holidays, after-hours preferences, emergency handling rules, and escalation contacts;

(b) service areas, service types, exclusions, pricing guidance, and qualification criteria;

(c) calendar access, CRM access, phone-number details, routing destinations, and user contacts;

(d) required legal disclosures, recording disclosures, AI disclosures, and communication preferences;

(e) examples of desired intake questions, objection handling, and scheduling rules; and

(f) timely approvals, testing feedback, and launch confirmations.

Delays caused by Customer, Customer’s vendors, or Customer’s failure to provide dependencies do not create a refund right and do not delay payment obligations unless BizAssistant agrees otherwise in writing.

5. COMMERCIAL TERMS

Ongoing monthly management fee:

US $29 per month

Initial payment due upfront:

US $29 (the first month of ongoing management)

Billing model:

Month-to-month, billed in advance, no setup fee, no long-term minimum commitment unless stated in a signed amendment

Payment timing:

Initial payment due before kickoff, onboarding, configuration, or launch work begins

Autopay:

Required unless BizAssistant approves another method in writing

6. BILLING RULES

(a) The initial payment of US $29 is due upon signature, acceptance, checkout, or invoice issuance and before kickoff.

(b) The initial payment includes the first month of ongoing management.

(c) After the initial payment, the ongoing monthly management fee of US $29 will be billed monthly in advance on the billing cadence stated on the invoice or, if no different date is stated, every thirty (30) days after the initial billing date.

(d) All fees are governed by the MSA’s payment terms, including the 30-day money-back policy for eligible standard-offer purchases, the no-setoff rule, late fees, collection rights, and chargeback provisions.

7. STANDARD OFFER SCOPE

BizAssistant’s standard offer under this SOW is centered on:

(a) answering inbound calls;

(b) capturing qualified lead details;

(c) sending or making available cleaner call summaries and related handoff information;

(d) supporting practical scheduling handoff and calendar-friendly workflows; and

(e) maintaining and refining the above during the active monthly term.

8. SCOPE BOUNDARIES AND EXCLUSIONS

Unless expressly added in a writing signed by BizAssistant, this SOW does not include:

(a) custom software development or custom feature engineering;

(b) legal, compliance, or regulatory advice;

(c) guaranteed human answering, guaranteed answer rate, or guaranteed response times;

(d) guaranteed number porting or guaranteed integration compatibility with every third-party platform;

(e) guaranteed appointment booking, guaranteed estimate volume, guaranteed lead quality, or guaranteed calendar fill rate;

(f) sales-closing services, price negotiation on behalf of Customer, or customer-success staff acting as Customer’s employees;

(g) ad spend, paid traffic, SEO, or unrelated marketing services; or

(h) any guarantee of results, booked jobs, close rate, revenue, or ROI.

9. NO GUARANTEE OF RESULTS

BizAssistant does not guarantee performance outcomes. This includes, without limitation, answer rate, lead volume, lead quality, booked estimates, scheduling outcomes, close rate, jobs sold, revenue, profit, or return on investment. Customer remains solely responsible for staffing, fulfillment, follow-up, pricing, sales, and all business outcomes.

10. TERM AND CANCELLATION

This SOW begins on the Effective Date and continues on a month-to-month basis until terminated under the MSA. Customer may stop future renewals by providing written notice before the next billing date. For BizAssistant’s standard offer only, Customer may request a one-time full refund of the initial payment by sending written notice to [email protected] within thirty (30) calendar days after the Effective Date or initial payment date, whichever occurs first. The 30-day money-back policy applies only to the initial payment for the standard offer, is available only once per Customer, and does not apply to renewals after the first 30 days, partial months, third-party or pass-through charges, custom work, expedited services, or non-standard add-ons unless BizAssistant agrees otherwise in writing. After the first 30 days, cancellation stops future renewals only and does not create any refund, proration, or credit for amounts already billed or accrued. BizAssistant may suspend or terminate this SOW at any time under the MSA.

11. ACCEPTANCE

Customer accepts this SOW by signing it, paying the initial invoice, clicking acceptance, approving a checkout flow, or allowing BizAssistant to begin work. Use of any live Service after launch also constitutes acceptance of the implemented deliverables.
